Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts and to engage collection agencies or legal action to recover unpaid amounts.

Indemnification
You agree to indemnify, defend, and hold harmless Qyvanta, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to your use of our services, your violation of these Terms, or your violation of any rights of another party.
Force Majeure
We shall not be liable for any failure or delay in performance under these Terms that is due to fire, flood, earthquake, pandemic, government action, war, terrorism, or other causes beyond our reasonable control. In such circumstances, we will make reasonable efforts to notify you and to resume performance as soon as practicable.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Bilbao, Spain. If you are a consumer resident in another EU member state, you may also have rights under the consumer protection laws of your country of residence.
Dispute Resolution
We encourage the resolution of disputes through direct communication. If a dispute cannot be resolved through discussion, we are willing to participate in mediation through a recognised mediation service. For EU consumers, you may also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Termination
Either party may terminate the service relationship at any time with reasonable notice. Qyvanta reserves the right to immediately terminate or suspend access to our services if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to our business or other users. Upon termination, your right to use our services ceases immediately, but provisions regarding confidentiality, intellectual property, limitation of liability, and governing law shall survive termination.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms specified in individual service agreements, constitute the entire agreement between you and Qyvanta regarding the use of our services. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
